Terms of Service
Last updated: October 8, 2026
These Terms of Service ("Terms") are an agreement between you and Portfolio-IQ LLC, a Wyoming limited liability company that operates Neo ("Neo", "we", "us", "our"). They govern your use of the Neo mobile app, the website at askneo.money, and any related services we provide (together, the "Services"). Our Privacy Policy explains how we handle your information and is part of these Terms.
By creating an account, joining our waitlist or otherwise using the Services, you agree to these Terms. If you don't agree, don't use the Services.
Please read Section 20 carefully. It requires most disputes to be resolved individually through binding arbitration and includes a waiver of class actions and jury trials.
1. What Neo is
Neo is a self-custodial wallet and trading interface with a built-in AI assistant. It lets you hold digital assets in your own wallet and access markets that are run by independent third parties, such as decentralized exchanges, token issuers and on-chain protocols, from one app.
What Neo is not:
- Neo is not a bank, securities dealer, exchange, investment adviser, commodity trading adviser or money transmitter, and Neo is not registered with or licensed by the SEC, CFTC, FINRA or any other financial regulator.
- Neo does not hold your assets in custody. Your wallet and keys are yours (see Section 5).
- Neo does not execute, match, clear or settle your trades. Trades are carried out by third-party venues and protocols, mostly on public blockchains (see Section 7).
- Neo is not your counterparty. When you trade, your counterparty is the relevant venue, protocol, issuer or other market participant, never Neo.
- Neo has no fiduciary duty to you. Our only obligations to you are the ones written in these Terms.
2. Early access and availability
Neo is in early development. Some features described on our website or in these Terms may not be available yet, may be available only to some users or in some countries, or may change before or after launch. We decide which features to offer, where and to whom, and we may add, change, pause or remove any feature, venue, network or asset at any time.
Joining the waitlist does not guarantee access to the app, a launch date or any particular feature.
3. Eligibility
To use the Services you must:
- be at least 18 years old (or the age of majority where you live) and able to form a binding contract;
- not be a person subject to sanctions, or listed on a sanctions list, including those maintained by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), the United Nations, the European Union or the United Kingdom, and not be owned or controlled by such a person;
- not be located in, organized in, or a resident of a country or region subject to comprehensive sanctions, including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk and Luhansk regions; and
- use the Services only where doing so is legal for you.
If you use the Services for a company or other organization, you confirm that you are authorized to bind it to these Terms.
You may not use a VPN, proxy or any other method to hide your location or to get around these requirements. Doing so is a material breach of these Terms.
4. Product availability by country
Not every product is available everywhere. In particular, perpetual futures, tokenized stocks and other tokenized assets, and prediction markets are not offered to persons located in, or residents of, the United States, the United Kingdom, Canada or Australia, and may be restricted in other places, based on applicable law and on the rules of the third parties that provide them.
We may determine your location from your IP address and other information. We may block or limit access to a product that is not available to you, and we may ask you to confirm your country of residence. The list of restricted countries may change at any time.
You are responsible for knowing and following the laws and regulations that apply to you.
5. Your wallet
Self-custody. When you sign up, a self-custodial wallet is created for you through Privy, a third-party wallet infrastructure provider. Privy's terms also apply to your wallet. Neo's servers do not store your private keys, and transactions from your wallet are authorized with your wallet's credentials on your device.
Keep your sign-in secure. Access to your wallet depends on the sign-in method you choose (for example your email, Apple or Google account). Anyone who gets into that account may be able to get into your wallet. You are responsible for keeping it secure. Neo cannot recover lost access, reverse transactions, or restore assets that are lost, stolen or sent to the wrong address.
Actions the app performs for you. To make the app easier to use, some actions happen within the app without a separate confirmation each time:
- Network fee sponsorship. For some transactions, you authorize (for example by signing a permit) a relayer operated by Neo to move the tokens needed to complete the transaction and return the result to your wallet. During that process, the relayer may briefly hold the tokens in order to complete the transaction you requested.
- Returning unused funds. The app may automatically move unused funds from your perpetual futures account back to your own wallet. These automatic moves only go between accounts you own.
- Trading permission for perpetual futures. To trade perpetual futures, the app may set up a trading-only permission on your device that places and closes orders when you instruct it to. It cannot withdraw your funds.
6. Adding funds
Crypto deposits. You can deposit USDC or other supported tokens to your wallet from another wallet or exchange, on supported networks. Sending unsupported tokens, or using the wrong network or address, can cause permanent loss.
Buying crypto with a card or Apple Pay. Where available, purchases of digital assets with regular money are provided by Stripe and its partners (the "Onramp Provider"), not by Neo. The Onramp Provider may verify your identity, may approve or decline any purchase at its discretion, and charges its own fees, which are shown before you confirm. Your purchase is governed by the Onramp Provider's terms and privacy policy. Assets you buy are delivered to your own wallet. Neo does not receive or store your card details.
Your balance. For convenience, the app may show your USDC on several networks, and the funds in your perpetual futures account, as one balance. In reality your funds may sit on different blockchains and with different protocols, and moving them may take time and involve fees.
7. Trading through third parties
The Services give you access to markets run by independent third parties, including:
| Product | Provided by (examples) |
|---|---|
| Crypto swaps | Jupiter, LI.FI and the liquidity sources they route to |
| Tokenized stocks and other tokenized assets | Token issuers such as Coinbase, Robinhood, Backed (xStocks), Tessera and PreStocks |
| Perpetual futures | Hyperliquid |
| Prediction markets | Polymarket |
| Moving funds between networks | LI.FI and the bridges it uses, Circle (Cross-Chain Transfer Protocol) |
Their terms apply too. By using a product, you also agree to the terms of the third party that provides it (see Section 26). We don't control these third parties and aren't responsible for their availability, pricing, liquidity, security, solvency, rules or actions.
Your trades are your decisions. Every trade is initiated and confirmed by you. Neo does not assess whether any product or trade is suitable for you.
No best-execution guarantee. Neo may compare venues, routes or instruments and present an option to you, but we do not guarantee the best price, the best execution or any particular result. Quotes are estimates, and the final price can differ because of market movement, slippage, liquidity and fees.
Blockchain transactions are final. Once confirmed on a blockchain, transactions generally cannot be reversed, changed or cancelled, by you or by us.
Information in the app. Prices, charts, balances, news and other information in the app come from third-party sources, may be delayed or wrong, and are for information only.
8. Product risks
Trading digital assets is risky, and you can lose all the money you put in. Only use money you can afford to lose. Risks include:
- Digital assets are highly volatile and can lose all of their value. Tokens can be hacked, abandoned, or be fake copies of real projects.
- Stablecoins such as USDC may lose their peg, be frozen by their issuer or become unavailable.
- Tokenized stocks and pre-IPO tokens are issued by third parties under their own legal structures. They usually give you no shareholder rights (such as voting or direct dividends) and do not make you an owner of the company. Their value depends on the issuer and its structure, they may trade at a different price than the underlying asset, and they may become illiquid, be paused, frozen or redeemed by the issuer, or be unavailable outside market hours. Read the issuer's disclosures before you trade.
- Perpetual futures are leveraged derivatives. Losses can be larger than your margin. Positions can be liquidated automatically, or reduced or closed by the protocol without notice, and funding payments apply. Perpetual futures do not give you ownership of the underlying asset.
- Prediction markets can resolve against you, resolve in ways you don't expect, or be disputed, and you can lose your entire position.
- Bridges, smart contracts and blockchains can fail, be exploited, become congested, or change their rules, and network fees can change quickly.
- Regulatory changes may restrict or end your ability to use some products.
9. Neo, the AI assistant
The app includes Neo, an AI assistant that can explain markets, research assets, summarize news, describe your portfolio and send alerts.
- Neo's answers are for information only. They are not financial, investment, legal or tax advice, and they are not a recommendation or solicitation to buy, sell or hold anything.
- Neo can be wrong. AI-generated content may be inaccurate, incomplete, out of date or inappropriate for you. Check important information yourself before you act on it.
- Neo cannot place trades for you. Every trade is made by you in the app and requires your confirmation. If we add new ways to trade using Neo, they will still require your confirmation before anything is executed.
- Your conversations are processed by our AI provider to generate answers (see the Privacy Policy). Don't share secrets such as passwords or recovery phrases with Neo.
- Alerts may be delayed, missing or wrong. They are not a substitute for monitoring your own positions.
10. Fees
- Neo fees. Neo may charge a fee on trades made through the app. Any Neo fee is included in the quote you see before you confirm. We may change our fees at any time; the fee shown when you confirm is the one that applies.
- Third-party fees. Venues, protocols, issuers, bridges and the Onramp Provider charge their own fees, for example trading fees, funding payments, transfer or withdrawal fees and onramp fees. These are separate from Neo's fees and are set by those third parties.
- Network fees. For supported actions, Neo may pay blockchain network ("gas") fees on your behalf. We may change or stop this at any time, and it does not cover the fees above.
11. Rewards, referrals and promotions
If we offer a referral program, rewards, credits or other promotions, they will be subject to these Terms and to any additional rules we publish for them. Unless those rules say otherwise: rewards have no cash value and can't be transferred; you may not refer yourself, use multiple accounts or otherwise game a program; we may withhold, cancel or reverse rewards obtained through fraud, abuse or a breach of these Terms; and we may change or end any program at any time. You are responsible for any taxes on rewards you receive.
12. Taxes
You are responsible for determining, reporting and paying any taxes that apply to your activity, including on trades and rewards. Neo does not provide tax advice and does not collect, withhold or report taxes for you, except where the law requires us to.
13. Acceptable use
You agree not to:
- use the Services for anything illegal, including money laundering, terrorist financing, fraud or sanctions evasion;
- use funds that come from illegal activity;
- manipulate markets, including wash trading, spoofing or pump-and-dump schemes;
- interfere with, attack, overload, scrape, copy, reverse engineer or create derivative works of the Services, except where the law allows;
- use bots or automated means to access the Services in ways we haven't authorized;
- create accounts with false information, impersonate anyone, or use someone else's account without permission; or
- get around any restriction we apply, including country restrictions.
We may suspend or restrict your access, decline to process actions, or report activity to the authorities if we reasonably believe you are breaking these Terms or the law. We may ask you for information to verify your identity, location or eligibility.
14. Communications
You agree that we may send you notices, disclosures and other communications electronically, including in the app and by email, and that these satisfy any legal requirement that communications be in writing. You can opt out of marketing emails at any time with the unsubscribe link; we may still send you service messages.
15. Feedback
If you send us ideas, suggestions or other feedback, we may use them freely, without any obligation or payment to you.
16. Intellectual property
The Services, including the Neo name, logo and character, our software, designs and content, belong to Neo or its licensors and are protected by law. We give you a limited, personal, non-exclusive, non-transferable, revocable license to use the app and website for their intended purpose. You may not use our trademarks without our written permission. Third-party names and logos belong to their owners, and their appearance in the Services does not mean they endorse or partner with Neo.
Copyright complaints. If you believe content in the Services infringes your copyright, email us at support@askneo.money with a description of the work, where it appears in the Services, your contact details, and a statement that you believe in good faith the use is not authorized.
17. Changes to these Terms
We may update these Terms from time to time. If a change is material, we'll notify you in the app, by email or on our website before it takes effect. If you keep using the Services after the change takes effect, you accept the updated Terms. Changes to Section 20 won't apply to disputes we already knew about before the change.
18. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT ANY INFORMATION (INCLUDING PRICES, BALANCES, QUOTES AND AI-GENERATED CONTENT) IS ACCURATE OR COMPLETE, OR THAT ANY THIRD-PARTY SERVICE WILL WORK AS EXPECTED. YOU USE THE SERVICES AT YOUR OWN RISK.
19. Limitation of liability and indemnity
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEO AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DIGITAL ASSETS, DATA OR GOODWILL, INCLUDING LOSSES CAUSED BY MARKET MOVEMENTS, LIQUIDATIONS, THIRD-PARTY VENUES, ISSUERS OR PROTOCOLS, BLOCKCHAIN OR NETWORK FAILURES, OR UNAUTHORIZED ACCESS TO YOUR SIGN-IN ACCOUNT OR WALLET, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF $100 OR THE TOTAL FEES YOU PAID TO NEO IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions don't allow some of these limits, so they may not fully apply to you.
Indemnity. You agree to defend and indemnify Neo and its members, managers, employees and agents against any claims, losses, damages and costs (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.
20. Disputes, arbitration and class action waiver
Governing law. These Terms and any dispute between you and Neo are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules, and by the Federal Arbitration Act.
Talk to us first. Before starting any formal proceeding, email us at support@askneo.money describing the dispute. We'll both try in good faith to resolve it informally for 60 days.
Binding arbitration. If we can't resolve it, any dispute arising from or relating to these Terms or the Services will be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, instead of in court. The arbitration will be conducted in English, and hearings may be held by video. The arbitrator decides any question about whether a dispute must be arbitrated. Judgment on the award may be entered in any court with jurisdiction.
Exceptions. Either party may bring an individual claim in small-claims court, and either party may ask a court for an injunction to protect intellectual property.
Class action and jury waiver. You and Neo may bring claims only individually, not as a plaintiff or class member in any class, collective or representative proceeding. Both parties waive any right to a jury trial.
Opt out. You can opt out of this arbitration agreement by emailing support@askneo.money within 30 days of first accepting these Terms, with the subject "Arbitration opt-out" and your name and account email.
Time limit. Any claim must be filed within one year after it arises, or it is permanently barred, to the extent the law allows.
If arbitration doesn't apply, disputes will be heard only in the state or federal courts located in Wyoming, and you and Neo consent to their jurisdiction.
If you live in a country whose consumer protection laws give you rights that can't be waived by contract, nothing in these Terms limits those rights.
21. Suspension and termination
You can stop using the Services and delete your account at any time. Because your wallet is self-custodial, you keep access to your assets through your wallet provider even if your Neo account is closed.
We may suspend or end your access to all or part of the Services, without notice, if you breach these Terms, if required by law or by a third-party provider, or to protect the Services, other users or Neo. Sections that by their nature should continue after termination (including Sections 8, 12, 16 and 18 to 23) will continue.
22. Events beyond our control
We are not responsible for delays or failures caused by events beyond our reasonable control, including outages of blockchains, networks, cloud providers or third-party services, cyberattacks, natural disasters, war, government action or changes in law.
23. General
These Terms (with the Privacy Policy and any additional rules we publish for specific features) are the entire agreement between you and Neo about the Services. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver of it. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. Headings are for convenience only.
24. Apple App Store
If you downloaded the app from the Apple App Store: these Terms are between you and Neo, not Apple. Apple is not responsible for the app or its content, has no obligation to provide maintenance or support, and is not responsible for any claims relating to the app (including product liability, legal compliance or intellectual property claims). If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); Apple has no other warranty obligation. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You confirm you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government list of prohibited or restricted parties.
